Terms of Service
1Introduction
These Terms of Service constitute a legally binding agreement between MotoEditor (“MotoEditor”, “we”, “us”) and you, governing access to motoeditor.com, its applications, the browser-based editor, the definition library, and related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Refund Policy.
2Eligibility & account registration
You must be at least 18 years old and legally competent to enter into contracts. You are responsible for keeping your login credentials confidential and for all activity under your account, and you must provide accurate, current registration information.
3Subscriptions & payments
Access to the editor and definition library requires an active plan. There are no tokens, credits, or per-project charges — an active plan unlocks the full Service.
- Quarterly plan — €99/quarter. A recurring subscription that renews automatically every three months unless cancelled before the renewal date.
- Annual plan — €290/year. A recurring subscription that renews automatically each year unless cancelled before the renewal date, and works out cheaper than paying quarterly.
Payments are processed through PayPal. Prices are stated in euros (EUR) and are inclusive or exclusive of taxes as required by applicable law. You authorise us (via PayPal) to charge the applicable fee and the recurring renewal fee until you cancel. You may cancel your subscription at any time from your dashboard; cancellation stops future renewals and your access continues until the end of the paid period. Refunds, where available, are governed by our Refund Policy.
4License & permitted use
Subject to these Terms and an active plan, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service to edit motorcycle ECU calibration data for your own research, education, or vehicle-tuning purposes. You may export the edited BIN file for your own use. You may not reverse-engineer, copy, resell, sublicense, or redistribute the Service, the definition library, or any part of it, nor use the Service to develop a competing product or for any unlawful purpose.
5Your firmware & content
You retain all rights to the firmware files (BINs) and other content you upload. You grant MotoEditor a limited, worldwide, royalty-free license to store and process that content solely to provide the Service to you (for example, to decode maps, apply your edits, and generate an exported BIN). You warrant that you own or are authorised to use any content you upload, and that doing so does not infringe third-party rights or violate applicable export, emissions, or vehicle laws.
6ECU tuning, flashing & compliance disclaimer
MotoEditor edits calibration data and produces a standard BIN file. It does not connect to, read from, or write to any ECU or vehicle. Reading the original firmware and writing (flashing) an edited BIN to a motorcycle are performed entirely by you, using separate third-party hardware and software, and are outside our control.
Calibration changes can affect emissions compliance and are, in many jurisdictions, intended for closed-course competition or off-road use only, and not for vehicles operated on public roads. You are solely responsible for determining and complying with the laws that apply to you. You assume all risk arising from editing calibration data and from flashing firmware, including the risk of engine or vehicle damage, voided warranties, personal injury, and regulatory non-compliance.
7Intellectual property
All Service content, software, the definition library, page design, and other materials (excluding your uploaded content) are the exclusive property of MotoEditor or its licensors and are protected by intellectual-property laws. No rights are granted except the limited license in Section 4.
8Acceptable use
You must not: attempt unauthorised access to the Service or other accounts; upload malware or malicious files; misrepresent your identity; scrape, bulk-download, or republish the definition library; or use the Service for unlawful content or purposes. Violations may result in immediate suspension or termination without refund.
9Support & updates
Support is provided to account holders through the in-app Support area. We may add, change, or remove features and definitions over time. Availability, response times, and update frequency are not guaranteed.
10Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access immediately for a material breach of these Terms, to comply with law, or to protect the integrity of the Service. On termination for breach, no refund is owed and access may be revoked.
11Disclaimers (no warranties)
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY DEFINITION, EDIT, OR EXPORTED FILE IS ACCURATE, COMPLETE, OR SAFE FOR ANY PARTICULAR VEHICLE OR USE.
12Limitation of liability
To the maximum extent permitted by law, MotoEditor is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any engine, vehicle, or property damage or personal injury arising from your use of the Service or from flashing edited firmware. Our total aggregate liability is capped at the greater of €100 or the amounts you paid us in the twelve (12) months preceding the claim.
13Indemnification
You agree to indemnify and hold MotoEditor harmless from any claims, damages, and expenses arising from your use of the Service, your content, or your breach of these Terms or of applicable law.
14Third-party tools & links
The Service may reference or integrate with third-party tools (for example, PayPal, or the flashing hardware and software you use). We do not endorse and are not responsible for third-party products, services, or websites.
15Export & sanctions compliance
Your use of the Service must comply with all applicable EU and US export-control and sanctions laws.
16Data protection (GDPR)
We process personal data in accordance with the GDPR and our Privacy Policy.
17Governing law & venue
These Terms are governed by French law. Disputes are subject to the competent courts of France, without prejudice to any mandatory consumer-protection rights you have in your country of residence.
18Dispute resolution
Before starting formal proceedings, the parties will attempt to resolve any dispute through good-faith negotiation for at least thirty (30) days. Consumers in the EEA retain all statutory rights, including access to alternative dispute-resolution mechanisms.
19Changes to these Terms
We may update these Terms from time to time. Material changes take effect thirty (30) days after we post them or notify you by email or in-app notice. Continued use of the Service after that date constitutes acceptance of the updated Terms.
