1. Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between MotoEditor, doing business as MotoEditor (“MotoEditor,” “we,” “our”), and you, the end user (“you,” “your”). They govern your access to and use of motoeditor.com, its sub-domains, web applications, support portals, APIs, and any related downloadable files or documentation (collectively, the “Service”).

By creating an account, purchasing a subscription or token pack, downloading or uploading any file, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated here by reference.

If you do not agree, do not use the Service.

2. Eligibility & Account Registration

  1. Age & competence. You must be at least 18 years old and legally competent to enter into a contract in your jurisdiction.
  2. Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you suspect unauthorized use.
  3. Accurate information. All registration and billing information must be current, complete, and accurate. You agree to keep it updated.

3. Subscriptions, Tokens & Payments

  1. Plan structure.
    • Standard Plan – 29 € / month, includes 10 tokens per month.
    • Pro Plan – 49 € / month, includes 35 tokens per month.

  2. Token definition. A “token” is a digital credit that may be redeemed only within the Service (e.g., to unlock a definition pack, generate a tuned BIN file, or access premium maps). Tokens have no cash value, are non-transferable, and expire if your subscription lapses for more than 60 days.
  3. Billing. All fees are charged in euros (€) unless stated otherwise. You authorize us (and our payment processor) to charge your selected payment method on a recurring basis until you cancel.
  4. Automatic renewal. Subscriptions renew automatically for successive billing cycles unless you cancel at least 24 hours before the current term ends.
  5. Refunds. Digital items (tokens, downloaded BIN files, ready-made maps) are non-refundable once delivered, except as expressly provided in our standalone Refund Policy.
  6. Price changes. We may change prices or token allotments with at least 30 days’ notice via email or in-app notice. Continued use after the effective date constitutes acceptance of the new pricing.

4. License & Permitted Use

  1. Grant. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for motorcycle ECU editing, research, or education, subject to these Terms.
  2. Restrictions. You may not:
    • Reverse-engineer or attempt to extract the Service’s source code.
    • Resell, sublicense, or otherwise redistribute the Service, token credits, or output files to third parties without express written consent.
    • Use the Service to create or distribute malware or to violate any law.

5. User-Supplied Content

  1. Your files. You retain all rights in firmware files, maps, or other data (“User Content”) you upload. You grant MotoEditor a worldwide, royalty-free license to host, copy, process, and transmit your User Content as necessary to provide the Service.
  2. Responsibility for content. You warrant that (i) you own or have lawful rights to upload the User Content and (ii) it does not infringe third-party intellectual property rights or violate export-control, emissions, or tampering laws.

6. ECU-Tuning & Compliance Disclaimer

  1. Off-road / racing use. Edited firmware, ready-made maps, and tuning definitions are for closed-course competition or off-road use only, not for vehicles operated on public roads where emissions or tamper regulations apply.
  2. Legal compliance. You are solely responsible for ensuring that any modifications performed with MotoEditor comply with all applicable laws in your jurisdiction— including but not limited to EU Type-Approval, EPA, CARB, and local emissions standards.
  3. Risk of damage. ECU remapping carries inherent risks of engine damage, drivetrain failure, or personal injury. By using the Service, you accept full responsibility for any such risks and outcomes.

7. Intellectual Property

All site content, logos, software code, design elements, and documentation are the exclusive property of MotoEditor or its licensors and are protected by copyright, trademark, and other laws. Except for the limited license in § 4, no right, title, or interest is transferred to you.

Standard or Priority Support is provided according to your subscription tier. We make reasonable efforts to keep the Service online and to issue new ECU definitions, but availability and update frequency are not guaranteed.

10. Termination

  1. By you. Cancel any time from your account dashboard; access continues until the end of the paid term.
  2. By us. We may suspend or terminate your account immediately (i) for material breach of these Terms, (ii) to comply with law, or (iii) to protect the Service’s integrity.
  3. Effect. Upon termination, your license ends and all unused tokens are forfeited.

11. Disclaimers (No Warranties)

THE SERVICE, INCLUDING ALL DATA, MAPS, AND DOCUMENTATION, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE IS ERROR-FREE OR WILL ACHIEVE ANY SPECIFIC PERFORMANCE GAINS. motoeditor.com

You agree to defend, indemnify, and hold harmless MotoEditor, its affiliates, and their respective directors, employees, and agents from any claim, demand, loss, or damages (including legal fees) arising out of:

  1. Your use or misuse of the Service;
  2. Your violation of these Terms or applicable law;
  3. Your User Content or any ECU modifications you implement.

The Service may integrate with third-party hardware interfaces (e.g., OBD/USB flashing tools) or link to external websites. MotoEditor does not endorse and is not responsible for these third-party products or content.

15. Export & Sanctions Compliance

You may not use, export, or re-export any part of the Service or underlying technology except as authorized by European Union and United States export-control laws and the laws of the jurisdiction in which MotoEditor is based.

16. Data Protection (GDPR)

MotoEditor processes personal data in accordance with the EU General Data Protection Regulation (GDPR). For details on your rights, lawful bases, and data-retention periods, see our Privacy Policy.

17. Governing Law & Venue

These Terms are governed by the laws of France, without regard to conflict-of-laws principles. Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts located in France.

18. Mandatory Pre-Arbitration / ADR (Optional clause)

Before filing any lawsuit, the parties agree to attempt to resolve the dispute through a 30-day written notice and good-faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration under the Rules of the France. Consumers in the EEA retain any non-waivable statutory rights.

MotoEditor may update these Terms from time to time. Material changes will take effect 30 days after notice via email or prominent in-app banner. Your continued use after that date constitutes acceptance of the revised Terms.
